5. Client Responsibilities
The Client agrees to:
- Provide accurate information necessary for service delivery.
- Ensure adequate backups of critical data unless a backup service is explicitly included in the Agreement.
- Maintain appropriate cybersecurity measures unless these are part of the managed services contract.
6. Fees and Payment
6.1 Fees will be outlined in a proposal, quote, or contract provided to the Client.
6.2 All invoices must be paid by the due date stated.
6.3 Late payments may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
6.4 Prices may be updated with reasonable notice, unless within a fixed-term agreement.
7. Managed IT Services
Where the Client engages ITFixio Ltd for managed services:
- Service levels (SLAs) will be defined in a separate Managed Services Agreement.
- ITFixio Ltd may require remote access tools to be installed for support purposes.
- The Client must not interfere with installed monitoring or management tools.
8. Liability
8.1 ITFixio Ltd is not liable for:
- Loss of profits, revenue, or business interruption.
- Loss of data where backup services are not part of the contract.
- Damages arising from third-party products or services.
8.2 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law.
9. Warranties
Except as explicitly stated, all services are provided “as is” without warranties of any kind. ITFixio Ltd does not guarantee uninterrupted or error-free service.
10. Intellectual Property
All content, tools, scripts, documentation, and materials provided by ITFixio Ltd remain our intellectual property unless agreed otherwise in writing.
